Welcome to DirectDiv Design. These Terms and Conditions ("Terms") govern your use of our website and client portal. By accessing or using either, you agree to be bound by these Terms.
Website Use
The content provided on this website is for general informational purposes only. You agree to use the website only for lawful purposes and in a manner that does not interfere with its operation or the experience of other users.
Client Portal
The client portal is available exclusively to invited clients of DirectDiv Design.
Accounts are created by DirectDiv Design and may not be transferred or shared without permission.
You are responsible for:
- Maintaining the confidentiality of your password
- Keeping your account information current
- All activity occurring under your account
You agree to notify DirectDiv Design promptly if you believe your account has been compromised.
Portal Information
The client portal is provided as a convenience for existing clients.
Information displayed within the portal—including invoices, project status, task boards, comments, retainer information, and related project data—is provided for informational purposes only and does not replace or modify any signed agreement, proposal, Statement of Work, contract, invoice, or other written agreement between you and DirectDiv Design.
In the event of any inconsistency, the applicable written agreement shall control.
Acceptable Use
You agree not to:
- Upload malicious software
- Attempt unauthorized access to any system
- Interfere with website or portal functionality
- Upload unlawful, infringing, or harmful content
- Attempt to reverse engineer or exploit the website or client portal
- Use the services in violation of applicable law
DirectDiv Design reserves the right to suspend or terminate access for violations of these Terms.
User Content
Clients may upload files, comments, and other project-related materials through the client portal.
You represent that you own or have permission to provide any content you upload.
You retain ownership of your uploaded materials.
You grant DirectDiv Design a limited, non-exclusive license to store, process, back up, display, and use such materials solely for the purpose of providing contracted services.
Intellectual Property
Unless otherwise stated, all website content, including text, graphics, branding, logos, software, layouts, and other materials, is the property of DirectDiv Design and is protected by applicable intellectual property laws.
No content may be copied, reproduced, distributed, or reused without prior written permission except as permitted by law.
Client Materials
Clients retain ownership of materials they provide, including logos, branding, content, images, documents, and other assets.
Clients represent they possess all necessary rights to provide such materials for use in their projects.
Custom Development
Ownership of custom project deliverables is governed by the applicable contract, proposal, Statement of Work, or other written agreement between DirectDiv Design and the client.
Unless otherwise agreed in writing:
- Clients receive ownership of fully paid custom deliverables created specifically for their project.
- DirectDiv Design retains ownership of its general methodologies, reusable code, development tools, frameworks, utilities, templates, libraries, and other pre-existing intellectual property.
Open Source Software
Projects may incorporate third-party or open-source software subject to their respective licenses.
Nothing in these Terms transfers ownership of software owned by third parties.
Payments
Payments are processed through Stripe.
Payment obligations, billing schedules, late fees, retainers, and related financial terms are governed by the applicable proposal, Statement of Work, service agreement, or invoice.
Availability
DirectDiv Design makes reasonable efforts to keep the website and client portal available but does not guarantee uninterrupted or error-free operation.
Maintenance, updates, technical issues, or events beyond our control may temporarily interrupt availability.
Disclaimer
The website and client portal are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the fullest extent permitted by law, DirectDiv Design shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of the website or client portal.
Our total liability relating to the website or client portal shall not exceed the amount paid by the client to DirectDiv Design for the services directly giving rise to the claim, where permitted by applicable law.
Termination
DirectDiv Design may suspend or terminate access to the client portal at any time for security reasons, violations of these Terms, project completion, or other legitimate business purposes.
Termination of portal access does not affect contractual obligations or payment responsibilities arising from separate agreements.
Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.
Any legal action arising under these Terms shall be brought in the appropriate state or federal courts located within Illinois.
Changes to These Terms
We may revise these Terms from time to time.
Updated versions become effective upon posting to this page. Continued use of the website or client portal constitutes acceptance of the revised Terms.
